End User License Agreement (EULA)

IMPORTANT: This End User License Agreement ("Agreement") is a legal agreement between you ("Licensee" or "You") and Sonatura ("Licensor") for the use of the audio plugin software "Software").

By installing, copying, or using the Software, you agree to be bound by the terms of this Agreement.

1. License Grant

Licensor grants you a non-exclusive, non-transferable license to install and use one copy of the Software on up to three devices owned and controlled by you, solely for personal or commercial music production.

2. Ownership

The Software is licensed, not sold. All title, ownership rights, and intellectual property rights in and to the Software remain with Licensor.

3. Restrictions

You may not:

- Modify, reverse engineer, decompile, or disassemble the Software.

- Resell, redistribute, rent, lease, sublicense, or otherwise transfer the Software, without notifying Licensor.

- Circumvent or disable any security or copy protection mechanisms.

4. Updates and Upgrades

Licensor may provide updates or upgrades at its sole discretion. This Agreement will apply to all such updates unless accompanied by a separate license.

5. Termination

This license is effective until terminated. It will terminate automatically without notice from Licensor if you fail to comply with any provision of this Agreement. Upon termination, you must destroy all copies of the Software.

6. Warranty Disclaimer

The Software is provided "AS IS" without warranty of any kind. Licensor disclaims all warranties, express or implied, including but not limited to merchantability or fitness for a particular purpose.

7. Limitation of Liability

In no event shall Licensor be liable for any damages (including, without limitation, loss of profits, business interruption, or loss of information) arising out of the use of or inability to use the Software, even if Licensor has been advised of the possibility of such damages.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, in the United States, without regard to conflict of law principles.

9. Entire Agreement

This Agreement constitutes the entire agreement between you and Licensor regarding the Software and supersedes any prior understandings or agreements.

10. Digital Rights Management (DRM)

The Software may include digital rights management (DRM) technology or license validation mechanisms designed to prevent unauthorized use and copying.

You agree not to attempt to bypass, disable, or tamper with any DRM or licensing system implemented by Licensor. This includes, but is not limited to, methods of reverse engineering, patching, modifying, or using unauthorized tools to alter the Software’s activation or usage limitations.

Licensor reserves the right to enforce license validation through periodic online verification or manual reactivation, and to deactivate licenses that are found to be in violation of this Agreement.

Failure to comply with this clause may result in immediate termination of this license without refund and may subject you to legal action.

11. Privacy and Data Collection

Licensor is committed to respecting your privacy and complying with all applicable data protection regulations, including the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA).

No usage analytics or telemetry of any kind is collected by the Software. The Software does not transmit, store, or monitor user activity, system information, plugin behavior, or any other data during use—anonymous or otherwise.

Upon purchase, Licensor may collect limited personal information such as your name and email address solely for the following purposes:

- To provide you with license verification or order confirmation

- To notify you of updates, bug fixes, or important information related to the Software

- To maintain a customer record for support and legal compliance

This information is collected and stored securely, never sold, and never shared with third parties, except as required by law.

You may opt out of update notifications at any time by contacting Licensor or using the unsubscribe link included in all communications.

By purchasing and/or using, and/or registering the Software, you acknowledge and agree to this limited data use policy.

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. IN NO EVENT SHALL THE COPYRIGHT HOLDERS OR ANYONE DISTRIBUTING THE SOFTWARE BE LIABLE FOR ANY DAMAGES OR OTHER LIABILITY, WHETHER IN CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE THEREOF.
